Terms and Conditions

1. Scope of Services DPP Consulting agrees to provide consulting services as agreed upon in the consulting agreement or statement of work (SOW). Services may include but are not limited to strategic planning, project management, business analysis, and technical consulting.

2. Client Responsibilities The Client agrees to provide necessary information, resources, and access to personnel as required for DPP Consulting to perform the services. The Client is responsible for making timely decisions and approvals related to the project.

3. Fees and Payment Fees for consulting services will be outlined in the consulting agreement or SOW. Payment terms, including invoicing frequency and payment methods, will also be specified. Late payments may incur penalties or interest charges.

4. Confidentiality Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the consulting engagement. This includes but is not limited to business plans, financial data, and intellectual property.

5. Ownership of Work Unless otherwise agreed upon, all deliverables and work products created by DPP Consulting during the engagement shall remain the property of DPP Consulting until full payment has been received. Upon payment, ownership transfers to the Client.

6. Termination Either party may terminate the consulting engagement with written notice. Termination may incur fees or expenses as outlined in the consulting agreement. Upon termination, both parties agree to return any materials or information belonging to the other party.

7. Limitation of Liability DPP Consulting’s liability for any damages arising from the consulting services shall be limited to the fees paid by the Client for those services. DPP Consulting is not liable for indirect, consequential, or punitive damages.

8. Governing Law This agreement shall be governed by the laws of [Jurisdiction], without regard to its conflict of law provisions. Any disputes arising from this agreement shall be resolved through arbitration in [Arbitration Location].

9. Entire Agreement This document, along with any attached consulting agreement or SOW, constitutes the entire agreement between DPP Consulting and the Client. Any modifications or amendments must be in writing and signed by both parties.

By engaging DPP Consulting’s services, the Client agrees to abide by these terms and conditions.
